The situation

The founder had done the hard part and put on a first live event, built on their own money.

What it did not have was a business an investor could test. There was no investable structure over the platform, and the deck told the story of an event rather than a company.

What we did

HAM prepared the raise.

  • Reframed one event into a platform thesis, with a season behind it and other sports as candidates.
  • Designed the raise in stages, each one tied to evidence the business can show.
  • Built the investor data room, numbered and indexed, from a reading guide to a log of investor questions, with a financial model, a team and operating map, and a social impact plan.
  • Ran a strategic partner process from first pitch to a proposed partnership structure, with the structure paper written for the partner's deal team.
  • Wrote the workshop packs for the founder and the team.

How we checked it

Before the room went to a single investor, HAM red-teamed it the way a hostile buyer would.

  • The first structure for the round did not fit the rules it depended on. HAM caught it before any investor saw it, and the raise was restructured.
  • The year-one profit and loss was reconciled to the penny, every line tied back to source, and the data room corrected so every document shows the same figures.
  • The deck said the trade mark was registered. The certificate says pending application. The deck now says what the certificate says.
  • Early operator models, written as a founder's first sketch, had crept into investor documents as if they were agreed economics. HAM flagged them and graded them Estimated everywhere.
  • Every claim in the room carries a grade, Confirmed, Reported or Estimated, so the founder goes into diligence knowing which numbers can be relied on.
